TERMS AND CONDITIONS FOR START DIGITAL PROGRAM

To OCBC:

• (i) We declare that as at the date of our application, we have met the Eligibility Criteria listed above and that the information provided in our application is true and accurate in all respects.
  
  
• (ii) We confirm that we would like to apply for the SMECEN Start Digital Starter Pack, and we acknowledge and agree that:
  
  
  1. Oversea-Chinese Banking Corporation (“OCBC”) may supply any governmental agency (including without limitation Enterprise Singapore and Info-communications Media Development Authority of Singapore) with documents and information relating to us or provided by us for purposes in connection with our application for the SMECEN Start Digital Starter Pack;
     
     
  2. we will supply and/or provide any information and/or documentary proof as OCBC may require from time to time and such information and documents shall thereby become and remain the property of OCBC;
     
     
  3. we will indemnify OCBC for any losses, damages, liabilities, claims, expenses, fees and costs that may be incurred or suffered by OCBC as a result of or in connection with (i) our failure to satisfy or comply with any of the Eligibility Criteria as set out above; (ii) us providing any declaration, information and document which is not true and accurate; or (iii) us not complying with any of the terms on this page;
     
     
  4. OCBC does not own or provide the SMECEN services to you. No warranty of any kind, including without limitation of merchantability, satisfactory quality, fitness for a particular purpose, freedom from malicious code, or non-infringement of third party rights is given in conjunction with the SMECEN Start Digital Starter Pack, and OCBC shall not be liable for any loss and/or damage suffered or incurred by or in connection with the use thereof;
     
     
  5. we have read, understood and accepted the terms and conditions listed in the OCBC website (https://www.ocbc.com/business-banking/accounts-and-services/start-digital/). OCBC reserves the right to update, amend or change the terms and conditions from time to time without our consent; and
     
     
  6. the SMECEN Start Digital Starter Pack is subject to any terms and conditions imposed by Enterprise Singapore and Info-communications Media Development Authority of Singapore.

To SMECEN Pte Ltd (“SMECEN”):

We acknowledge and agree that:

1. SMECEN may (a) share information with OCBC relating to us or our SMECEN account and (b) send me promotional collaterals relating to our business;
   
   
2. the information provided in our application is true and accurate in all respects;
   
   
3. all our SMECEN account related communications will be sent to our address as registered with ACRA;
   
   
4. the SMECEN Start Digital Starter Pack is only valid for OCBC customers who meet the Eligibility Criteria (https://smecen.com/ocbc-sales-page/). In the event we are determined by OCBC and/or SMECEN in their sole and absolute discretion to not be eligible and we desire to use SMECEN services, we will bear the subscription fees listed on https://smecen.com/ (“the SMECEN website”);
   
   
5. if we require SMECEN to perform onsite setup for us, such charges quoted after assessment of hours needed to complete the work are not included in the SMECEN Start Digital Starter Pack and will be borne by us;
   
   
6. any payments relating to the SMECEN Start Digital Starter Pack must be made via an OCBC Business Debit Card issued to us;
   
   
7. we will subscribe to the SMECEN Start Digital Starter Pack for a minimum period of 18 continuous months at the fees stated herein. Thereafter, the fees payable will follow that as listed on the SMECEN website;
   
   
8. the success of our subscription to the SMECEN Start Digital Starter Pack will be determined by SMECEN’s validation of our business;
   
   
9. in the event of any cancellation request, we will notify SMECEN in writing (by letter or email) with a notice period of 2 months. We agree that SMECEN shall have the right to charge fees where we fail to comply with such notice requirements;
   
   
10. we agree that, notwithstanding anything to the contrary, if we fail to satisfy or comply with any of the Eligibility Criteria; or any declaration information and documents given by us are not true or accurate; or we do not comply with clause (vii) above, SMECEN reserves the right to terminate the package without our notice; and
    
    
11. we have read, understood and accepted the terms of use listed on https://smecen.com/smecen-tou/. SMECEN reserves the rights to update the terms and conditions from time to time without our consent.
